These Terms of Service ("Terms") govern your access to and use of the Insider Desk mobile application ("Insider Desk" or the "Service"). Insider Desk is operated by Singularity Inc. ("Singularity", "we", "us"), and these Terms are an agreement between you and Singularity. Please read them carefully. By accessing or using Insider Desk, you agree to be bound by these Terms and by our Privacy Policy.

1. Acceptance of Terms

1.1 Agreement

By accessing or using Insider Desk, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the app.

1.2 Eligibility

Insider Desk is a general-audience application with no age-restricted content, and it carries an App Store rating of 4+. If you are under 18, we ask that a parent or guardian review these Terms with you before you use Insider Desk. The limitation of liability (Section 8) and the indemnification (Section 9) apply to you only to the extent they are enforceable against a minor under applicable law.

1.3 Changes to Terms

We may modify these Terms. For material changes, we will present the updated Terms in the app and ask you to review and agree again before you continue using Insider Desk, and your agreement is recorded per version. Non-material changes take effect when posted with an updated "Last Revised" date. We will not impose materially new obligations through silent continued use, and changes do not apply to a dispute that arose before the change took effect.

The information provided through this app does not constitute a recommendation or solicitation to buy or sell any securities. Users should conduct their own research and consult with qualified financial advisors before making investment decisions.

USE OF INSIDER DESK DOES NOT CREATE ANY ADVISORY, FIDUCIARY, OR PROFESSIONAL RELATIONSHIP. WE ARE NOT YOUR FINANCIAL ADVISOR, BROKER, OR INVESTMENT PROFESSIONAL.

3.4 An Impersonal Publication, Not an Investment Adviser

Insider Desk is a source of financial information made available to the public generally. It does not give advice tailored to any individual's holdings, situation, or objectives. The app applies the same public data and the same logic to every user; what you see depends on the choices you make, such as the companies you follow, the filters and time windows you select, and the alert rules you set. Users who make different choices may see different figures or receive different notifications, but the logic that produces them is identical and is not keyed to anyone's personal circumstances. The app does not use accounts, and we do not receive information about you or which companies you follow. Notifications tell you when a new public filing matches criteria you set, for example a transaction above a dollar amount you choose, or several insiders trading within a window you choose; they report the facts of the matching filing and the criteria it met, and never recommend that you buy, sell, or hold. We are not registered as an investment adviser with the SEC or any state, and we are not registered with the CFTC as a commodity trading adviser, nor are we a member of the National Futures Association.

DATA PROVIDED "AS IS":

Insider Desk aggregates and computes on data that originates with third-party and government sources (SEC EDGAR, CFTC, U.S. Treasury, and BLS). We work hard to ensure accuracy: the app applies established numerical, statistical, and data-quality methods to validate, reconcile, and qualify the data it processes and the figures it derives. Those methods help reduce error, but they cannot guarantee elimination of it. Errors can enter at any point in the custodial chain. The source data is outside of our control and may lag, be amended, or contain errors. Our own aggregation, models, statistics, and valuations may also contain errors or reflect methodological limitations. We cannot guarantee that any figure the app presents, whether sourced or derived, is accurate or complete.

Data is provided "as is" without warranty of any kind. Insider Desk does not guarantee:

Because Insider Desk has no accounts, your preferences and watchlist data live on your device, protected by iOS's standard on-device encryption, rather than behind a login on a server. Securing the device is what keeps that data private, so you are responsible for using a passcode or biometric lock. We run no server that holds that data; you secure the device it sits on.

6.1 Our Rights

All content, features, and functionality of Insider Desk are owned by Singularity Inc. ("Singularity") and protected by copyright, trademark, and other intellectual property laws.

This includes:

"Insider Desk" is a trademark of Singularity Inc. (U.S. trademark application, Serial No. 99456631). Company logos shown in the app are third-party trademarks of their respective owners, displayed for identification only.

6.2 Your Rights

Subject to these Terms and the App Store Terms of Service (including the Usage Rules), we grant you a limited, non-exclusive, non-transferable license to use the app on any Apple-branded device that you own or control, for personal, non-commercial purposes, and to view and interact with data within the app. This license includes the app's own export and sharing features, including exporting your watchlist to a file generated on your device and saving or sharing that file to a destination you choose, for your personal use.

You may send us feedback or suggestions. If you do, you give us irrevocable, non-exclusive permission to use them, including to improve Insider Desk, without remuneration or obligation to you, and without confidentiality.

7. Subscription Terms

IMPORTANT: All subscriptions are managed exclusively through the Apple App Store. We do not maintain user accounts, process payments, or handle billing directly. Apple processes payments and manages billing. These subscription terms are between you and Singularity, and we remain responsible for them.

8. Limitation of Liability

8.1 NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

8.2 LIMITATION OF DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINGULARITY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(a) Your access to, use of, or inability to use the service (b) Any conduct or content of any third party (c) Unauthorized access to or alteration of your data (d) INVESTMENT DECISIONS MADE BASED ON INFORMATION FROM THE SERVICE

8.3 MAXIMUM LIABILITY

IN NO EVENT SHALL THE TOTAL LIABILITY OF SINGULARITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS CAP DOES NOT APPLY TO ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING ANY LIABILITY DESCRIBED IN SECTION 8.4 OR FOR VIOLATION OF A CONSUMER-PROTECTION OR PRIVACY STATUTE.

8.4 Exceptions

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct, and any consumer rights that cannot be waived. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages, so parts of this section may not apply to you. Nothing in this section limits or waives your right to seek public injunctive relief, or any other right that cannot be waived under applicable law.

9. Indemnification

You agree to indemnify and hold harmless Singularity and its officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable attorneys' fees to the extent they arise (a) if you unlawfully use this app, (b) if you breach any of these Terms, or (c) if you violate a third party's rights.

This indemnity does not apply to any claim to the extent it arises from Singularity's own negligence, willful misconduct, fraud, or violation of law, and it does not require you to indemnify Singularity for any liability that cannot be shifted under applicable law. Nothing in this section limits or releases your own claims against Singularity.

10. Termination

Note: Since Insider Desk does not use user accounts, there are no "accounts" to terminate. This section describes ending your use of the app.

10.1 By You

You may stop using the app at any time:

IMPORTANT: Deleting the app does NOT cancel your subscription. You must cancel through App Store Settings.

10.2 By Us

Insider Desk does not use accounts, and we do not run a backend, so there is no account to terminate and no way for us to block an individual device or user. We reserve the right to:

11.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Singularity.

11.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

11.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

11.4 Assignment

You may not assign these Terms. We may assign without restriction.

11.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our control (natural disasters, government actions, etc.).

11.6 Third-Party Beneficiaries

No third-party beneficiaries except Apple and its subsidiaries, who are third-party beneficiaries per the App Store requirements and Section 12.2.

11.7 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. If you are a consumer, this does not remove the protection of any mandatory consumer-protection laws of the place where you live.

11.8 Dispute Resolution and Venue

Before bringing a formal claim, please contact us at legal@insiderdesk.info so we can try to resolve the matter. Any dispute relating to these Terms or the app will be brought in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. If you are a consumer, this does not affect any right you may have to bring proceedings in the courts of the place where you live. Nothing in these Terms prevents you from bringing an individual claim in small-claims court.

12. Apple App Store Requirements

Apple and its subsidiaries are third-party beneficiaries and have the right to enforce these Terms.

12.3 Product Claims and Intellectual Property

Singularity, not Apple, is responsible for addressing any claim by you or any third party relating to the app or your possession or use of it, including (i) product-liability claims, (ii) any claim that the app fails to meet an applicable legal or regulatory requirement, and (iii) claims arising under consumer-protection, privacy, or similar law. For any third-party claim that the app, or your possession and use of it, infringes that party's intellectual-property rights, Singularity, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of the claim.

12.4 Apple Warranty

If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you (if any); to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the app.

12.5 Third-Party Terms

You must comply with any applicable third-party terms of agreement when using the app.

13. Export Compliance

13.1 Export Control

You agree not to export or re-export the app in violation of U.S. export control laws or regulations.

13.2 Encryption

The app uses standard encryption (HTTPS/TLS). Use outside the United States may be subject to export restrictions.

13.3 Restricted Parties

You represent and warrant that you are not located in any country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
